Terms of Service for Roshi

1. Agreement to Terms
By downloading, installing, and using the Roshi mobile application (the "Application"), you ("User" or "you") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Application.
These Terms constitute a binding agreement between you and Roshi ("Company", "we", "us", or "our").
2. Eligibility
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use this Application.
- If you are under 18, you may only use the Application with parental or guardian consent.
- You warrant that you have the legal authority to enter into this agreement.
3. License Grant & Restrictions
3.1 Limited License
We grant you a non-exclusive, non-transferable, revocable license to use the Application for personal, non-commercial purposes on your personal device, subject to these Terms.
3.2 Prohibited Conduct
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application
- Modify, adapt, or translate the Application
- Copy, reproduce, or duplicate the Application for redistribution
- Remove, obscure, or alter any copyright, trademark, or proprietary notices
- Use the Application for unlawful, harmful, or malicious purposes
- Harass, abuse, or threaten other users or company staff
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to servers or systems
- Rent, lease, or lend the Application to others
- Create derivative works based on the Application
- Use the Application to develop competing products or services
- Circumvent security features, paywalls, or subscription restrictions
- Scrape, crawl, or automate access to the Application
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
3.3 Intellectual Property Ownership
All content, features, functionality, software, and design of the Application, including but not limited to:
- Source code and object code
- Lottie animations and visual assets
- Audio files (guided meditations, breathing cues, bell sounds)
- Text, graphics, and user interface design
- Trademarks, logos, and brand elements
...remain the exclusive property of Roshi or its licensors. You acquire no ownership rights to any materials.
4. User Accounts & Responsibilities
4.1 Account Registration
- To use certain features (particularly Community Circles), you may create an account via Google Sign-In.
- You are responsible for maintaining the confidentiality of your Google credentials.
- You are liable for all activities that occur under your account.
4.2 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update this information as needed.
4.3 Account Security
- You are responsible for securing your device and account.
- Do not share your account credentials with others.

5. Community Circles & User-Generated Content
5.1 Ownership of Your Content
By posting or uploading content (posts, comments, photos, or other materials) to Community Circles, you retain ownership of that content. However, you grant Roshi a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your content as necessary to operate the Community Circles feature.
5.2 Content Standards & Prohibited Content
You agree not to post content that:
- Is defamatory, libelous, or false
- Is obscene, pornographic, or sexually explicit
- Promotes violence, illegal activity, or self-harm
- Contains hate speech, discrimination, or harassment
- Violates anyone's intellectual property rights
- Includes personal identifying information without consent (doxing)
- Is spam, phishing, or solicitation
- Violates these Terms or applicable law
5.3 Moderation & Enforcement
- Roshi reserves the right to remove content that violates these Terms.
- Roshi may suspend or terminate accounts of users who repeatedly violate community standards.
- Moderation decisions are made at our sole discretion; we are not required to provide notice or explanation.
5.4 Community Guidelines
In addition to these Terms, all Community Circle users must follow our Community Guidelines (see Appendix A below).
6. Subscriptions & Billing
6.1 Premium Subscription
Certain features ("Premium Features") are available only to Premium subscribers.
6.2 Billing & Payment
- Premium subscriptions are processed through RevenueCat, Google Play, or Apple App Store, depending on your device.
- You authorize the respective app store to charge your payment method at the subscription rate you selected.
- Subscription fees are charged automatically on a recurring basis (monthly or annually, as selected).
- We do not directly collect your payment information; this is handled securely by app stores.
6.3 Subscription Terms
- Subscriptions renew automatically unless canceled before the renewal date.
- You can cancel anytime through your device's app store subscription settings.
- Cancellation takes effect at the end of the current billing period.
- No partial refunds occur for mid-period cancellations; however, you retain access until the subscription expires.
6.4 Price Changes
- We may change subscription pricing with 30 days' notice.
- You may accept or decline the new price; declining cancels your subscription.
6.5 Free Trial
- Some promotions may offer a free trial period.
- Your subscription will convert to a paid subscription at the end of the trial unless canceled before the trial ends.
- Trial eligibility is limited to new users and per-user once per device.
7. Warranties & Disclaimers
7.1 "As-Is" Disclaimer
The Application is provided "AS IS" without warranties of any kind, expressed or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Title
- Quiet enjoyment
7.2 No Guarantee of Results
- We do not guarantee that any meditation, breathing practice, or content will produce specific health, wellness, or mental health outcomes.
- The Application is designed for general wellness and is not intended as a substitute for professional medical advice, therapy, or psychiatric treatment.
- If you have health concerns, consult a qualified healthcare provider.
7.3 Uptime & Availability
- We do not guarantee uninterrupted access to the Application.
- The Application may be unavailable due to maintenance, updates, bugs, or circumstances beyond our control.
7.4 Third-Party Content
- We do not endorse or guarantee the accuracy of third-party content, including audio files sourced from external providers.
- We are not responsible for third-party services (Firebase, Google Drive, RevenueCat, etc.) or their policies.
8. Limitation of Liability
8.1 Excluded Damages
To the maximum extent permitted by law, Roshi is not liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of data, revenue, profit, or business opportunity
- Damages arising from inability to use the Application
- Damages from reliance on accuracy or reliability of content
8.2 Cap on Liability
Our total liability arising from or relating to these Terms and your use of the Application shall not exceed the total amount you paid for your subscription in the 12 months preceding the claim. If you have not paid anything, liability is limited to $0.
8.3 Essential Terms
These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain damages; in those cases, our liability is limited to the greatest extent permitted.
9. Indemnification
You agree to indemnify, defend, and hold harmless Roshi, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from any claims, damages, losses, costs, or liabilities (including reasonable attorneys' fees) arising from or relating to:
- Your use or misuse of the Application
- Your violation of these Terms
- Your violation of applicable law
- Content you post or share
- Your infringement of another's intellectual property rights
- Disputes with other users
10. Network & Data Costs
- Your internet service provider (ISP) may charge fees for data transmission.
- You are responsible for all data charges incurred while using the Application.
- We do not reimburse or cover ISP charges, overage fees, or roaming charges.
- Some features require an active internet connection; offline functionality varies by feature.
11. Device & Software Requirements
- The Application is compatible with iOS 14+ and Android 8.0+.
- We may update system requirements without notice.
- Older devices may not support new features or OS versions.
- You are responsible for maintaining compatible hardware and software.
12. Updates & Termination of Service
12.1 Updates
- We may update the Application with bug fixes, new features, or security patches.
- You may be required to update to continue using the Application.
- Updates may change features, functionality, or pricing.
12.2 Service Termination
- We reserve the right to discontinue the Application or specific features at any time.
- We will provide 30 days' notice for material service terminations, if feasible.
- Upon termination, your right to use the Application ends; downloaded content may become inaccessible.
12.3 Account Termination
We may suspend or terminate your account if you:
- Violate these Terms repeatedly
- Engage in harassment, abuse, or illegal activity
- Attempt to circumvent security or paywall features
- Violate our Community Guidelines
- Appear to have created multiple accounts to evade restrictions
13. Third-Party Services & Links
13.1 Integrations
The Application integrates with third-party services:
- Firebase (Google Cloud) — database, authentication, messaging
- RevenueCat — subscription management
- Google Drive — optional backup storage
- App Stores — distribution and billing
Your use of these services is governed by their respective terms and privacy policies. We are not responsible for their practices.
13.2 External Links
The Application may contain links to external websites or services. We are not responsible for their content, accuracy, or privacy practices. Use external resources at your own risk.
14. Dispute Resolution & Governing Law
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes arising from these Terms or your use of the Application shall be resolved as follows:
Step 1 - Informal Resolution:
- Contact us at admin@mabidtechnologies.com with a detailed description of the dispute.
- We will attempt to resolve the issue within 30 days.
Step 2 - Binding Arbitration:
- If informal resolution fails, the dispute shall be submitted to final and binding arbitration.
- Arbitration will be conducted under the rules of the American Arbitration Association (AAA) (or your jurisdiction's equivalent).
- The arbitration will be held virtually (remotely) for convenience.
- Each party bears its own legal costs; arbitrator fees are split equally unless the arbitrator orders otherwise.
Step 3 - Exceptions:
- Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.
14.3 Class Action Waiver
You agree that any arbitration or legal action shall be conducted on an individual basis only, not as a class action, class arbitration, or representative action. You waive the right to participate in class proceedings.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be reformed to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any amendments thereto, constitute the entire agreement between you and Roshi regarding the Application. They supersede all prior agreements, understandings, and negotiations, whether written or oral.
17. Amendments & Modifications
17.1 Right to Modify
We may update these Terms at any time. Continued use of the Application following the posting of revised Terms constitutes your acceptance of those changes.
17.2 Notification
For material changes, we will notify you via:
- In-app notification
- Email (if we have your contact)
- Updated "Last Updated" date in this document
If you do not accept the modified Terms, you must discontinue use of the Application.
18. Survival
Provisions that by their nature should survive termination (including but not limited to indemnification, limitation of liability, intellectual property, and governing law) shall remain in effect after the termination or expiration of these Terms.
19. Waiver
The failure of Roshi to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.

Appendix A: Community Guidelines
By participating in Community Circles, you agree to the following guidelines:
A.1 Be Respectful
- Treat other members with kindness and respect, even if you disagree.
- Avoid personal attacks, name-calling, or hostile language.
- Respect diverse perspectives, beliefs, and experiences.
A.2 Keep It On-Topic
- Post content relevant to the circle's theme (meditation, wellness, breathing practices).
- Use other channels for unrelated topics.
A.3 No Spam or Promotion
- Do not promote commercial products or services.
- Avoid repetitive posts or link-spam.
- Do not use the community for advertising or MLM recruitment.
A.4 Protect Privacy
- Do not share others' personal information without consent.
- Do not post identifying information (real names, addresses, phone numbers) without permission.
- Respect others' boundaries.
A.5 Report Abuse
- If you encounter harassment, hate speech, or illegal content, report it to admin@mabidtechnologies.com.
- Provide details and screenshots to help us investigate.
A.6 Mental Health Disclaimer
- The community is for peer support and sharing experiences, not professional mental health treatment.
- If you are experiencing a mental health crisis, contact a mental health professional or crisis hotline.
A.7 Consequences
Violations of these guidelines may result in:
- Post removal
- Account warning
- Suspension or permanent ban from Community Circles
- Disabling of the community feature entirely
